1. Definitions
1.1 “Press Release” refers to content of any kind transmitted to Canna Newswire via its website or via email for the purpose of dissemination using the Canna Newswire press release distribution network, including via Canna Newswire’s third-party content distributors, affiliates and partners, inclusive of text, images, video, audio, documents or other formats.
1.2 “Issuer” refers to the company, organization or individual person using the Canna Newswire press release distribution network, and/or the designated representative or agent of same.
2. TERMS
2.1 License. By submitting a Press Release to Canna Newswire for the purpose of dissemination using the Canna Newswire press release distribution network, Issuer grants to Canna Newswire and its third-party content distributors, affiliates and partners worldwide, royalty-free, perpetual and sub-licensable right and license to reproduce, distribute, sub-license, translate, archive and create derivative works of the type created by a news release distribution business from any Press Release.
2.2 Ownership. Subject the license rights granted to Canna Newswire as between Issuer and Canna Newswire, Issuer is the sole owner and retains all right, title and interest in and to its Press Release content.
2.3 Content. Canna Newswire in its sole judgment may reject any Press Release submitted for distribution if it finds the content lacks news value, such as advertising and catalog content, or if the submitted press release does not conform to generally accepted press release construction or to journalistic style as prescribed in the Associated Press Stylebook or other widely accepted style guides.
2.3 Editorial Review. Issuer consents to allowing Canna Newswire to edit the submitted Press Release if necessary to make it conform with generally accepted press release construction and/or journalistic style as prescribed in the Associated Press Stlyebook without reviewing such edits prior to press release publication. Canna Newswire will work to avoid making edits that change the meaning of any content being edited.
3. REPRESENTATIONS & WARRANTIES
3.1 Issuer hereby represents, warrants and covenants that:
3.1.1 Issuer has the right, power and authority to provide each component of the Press Release and its logos, trademarks, service marks and other indicia of source to Canna Newswire for purposes of dissemination using the Canna Newswire press release distribution network;
3.1.2 and that Press Release does not consist of obscene, libelous, slanderous or otherwise defamatory content, or violate any copyright, right of privacy or publicity or other right of any person;
3.1.3 and that Press Release does not contain any untrue statements of a material fact, or omit to state a material fact necessary in order to make any statements made therein not misleading;
3.1.4 and that Issuer has obtained all third-party clearances, permissions and licenses as may be required for the public dissemination of the Press Release, or for Canna Newswire’s exercise of the license granted in Section 2, including with respect to the use of any copyrighted or trademarked materials and the use of any names, personas, likenesses or biographical materials;
3.1.5 and that Issuer is responsible for and has paid any and all necessary fees, and for any and all residuals, payments, fees or royalties, if any, payable under any collective bargaining agreement or otherwise required for the use of Press Release content Issuer transmitted to Canna Newswire.
4. TERMINATION
4.1 Canna Newswire reserves the right, with or without notice to Issuer, to remove any objectionable Press Release from the Canna Newswire Press Release feed, or to remove any Press Release if Canna Newswire determines in its sole judgment that Issuer has violated any of Canna Newswire’s terms and conditions.
